1. General Provisions

1.1 These general terms and conditions (hereinafter: “Terms”) apply to all legal acts, offers, quotations, agreements, deliveries, and other legal relationships between EcoLine™, with its registered office at Krombraak 4, 4906CR Oosterhout, The Netherlands, registered with the Chamber of Commerce under number 76052311, VAT ID NL003038818B55 (hereinafter: “EcoLine”), and the business counterparty (hereinafter: “Customer”).

1.2 By registering on EcoLine’s online trading platform or placing an order, the Customer unconditionally agrees to these Terms, which form an integral and inseparable part of every legal relationship between the parties.

1.3 Deviations from or additions to these Terms are only valid if explicitly confirmed in writing by EcoLine. Any (purchase) terms of the Customer are expressly rejected.

1.4 If any provision of these Terms is found to be null and void or is annulled, the remaining provisions shall remain in full force and effect. The parties shall then consult to agree on a replacement provision that aligns as closely as possible with the original intent.

1.5 The Customer acknowledges that it is acting solely in the exercise of a profession or business and therefore cannot invoke consumer protection laws.

2. Registration and Platform Access

2.1 Access to EcoLine’s digital trading environment is reserved for legal entities and natural persons acting in a business capacity, subject to registration and approval by EcoLine.

2.2 EcoLine reserves the right to refuse any registration request or to suspend or deactivate an existing account at any time without providing reasons.

2.3 The Customer must provide all identification and documentation requested by EcoLine fully, accurately, and up to date. Failure to do so may result in suspension or termination of service.

3. Formation and Execution of Agreements

3.1 All offers from EcoLine, regardless of their form, are non-binding and subject to availability, unless expressly stated otherwise.

3.2 Agreements are concluded only upon written or digital order confirmation by EcoLine, or when EcoLine actually begins fulfilling the order.

3.3 Oral promises or agreements are only binding if confirmed in writing by an authorized representative of EcoLine.

3.4 In the case of backorders or delayed deliveries due to stock shortages, external dependencies, or force majeure, EcoLine reserves the right to unilaterally adjust delivery times or cancel orders, in whole or in part, without obligation to pay damages.

4. Delivery, Transfer of Ownership, and Risk

4.1 Delivery takes place Ex Works (Incoterms 2020) from EcoLine’s warehouse, unless explicitly agreed otherwise in writing.

4.2 Risk of loss, theft, or damage to goods passes to the Customer at the moment of actual delivery to the carrier.

4.3 EcoLine retains ownership of delivered goods until the Customer has fulfilled all (payment) obligations under any agreement.

4.4 Software and digital components integrated into physical products remain the property of EcoLine or its licensors. The Customer only receives a non-exclusive, non-transferable license for internal use, with no rights of reproduction or distribution.

5. Cancellations, Returns, and RMA

5.1 Return requests (RMA) must be submitted no later than 30 calendar days after receipt of goods, using the form provided by EcoLine.

5.2 Only unused, undamaged goods in original packaging and with all accessories are eligible for return. EcoLine reserves the right to reject returns if deviations are found.

5.3 Returns are entirely at the Customer’s expense and risk, unless agreed otherwise in writing.

5.4 Defects caused by improper use, assembly errors, or transport damage are not covered by EcoLine’s liability. In such cases, the Customer must contact the carrier.

6. Financial Terms

6.1 Unless explicitly stated otherwise, all prices are in euros and exclusive of VAT, levies, import duties, transport, and packaging costs.

6.2 Payment must be made in advance via the payment methods offered in the webshop (e.g., Mollie, PayPal), unless different terms have been agreed in writing.

6.3 In the event of late payment, EcoLine is entitled to charge, without prior notice, interest of 1% per month as well as all judicial and extrajudicial collection costs.

6.4 Payment must be made without any right to suspension, offset, or deduction, unless expressly authorized in writing by EcoLine.

7. Intellectual Property

7.1 All intellectual property rights relating to materials, images, product descriptions, data files, software, and documentation provided by EcoLine rest solely with EcoLine or its licensors.

7.2 The Customer is granted only a limited, revocable right to use such materials for promotional purposes within the framework of the cooperation. Any other use, including reproduction, publication, modification, or transfer, is prohibited without prior written consent.

7.3 EcoLine may revoke the granted usage rights at any time without giving reasons. The Customer must then immediately cease all use and delete or destroy all related materials.

7.4 In the event of a breach of this article, the Customer shall owe EcoLine an immediately payable penalty of at least €1,000 per incident, without prejudice to the right to full compensation for damages.

8. Duration, Termination, and Suspension

8.1 EcoLine may terminate the cooperation at any time with immediate effect, without justification and without liability for damages.

8.2 In case of attributable breach, violation of these Terms, or legal obligations by the Customer, EcoLine has the right to terminate the agreement immediately and without notice.

8.3 In the event of suspension or termination, all claims of EcoLine against the Customer become immediately due and payable.

9. Liability and Force Majeure

9.1 EcoLine’s liability is limited to direct damages up to the amount of the invoice value of the relevant delivery.

9.2 EcoLine is never liable for indirect damages, loss of profit, missed savings, or damages resulting from business interruption.

9.3 EcoLine is not obliged to fulfill any obligation if prevented from doing so due to force majeure, including but not limited to natural disasters, pandemics, war, government measures, strikes, network failures, or supplier issues.

10. Governing Law and Jurisdiction

10.1 These Terms and all resulting legal relationships are governed exclusively by Dutch law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

10.2 All disputes shall be submitted exclusively to the competent court in the district of Zeeland-West-Brabant, location Breda.

11. Final Provisions

11.1 EcoLine reserves the right to unilaterally amend these Terms. The amended version will be made available electronically and will take effect seven (7) days after publication, unless stated otherwise.

11.2 By continuing to use the platform or placing orders after the effective date, the Customer irrevocably agrees to the amended Terms.
